The Joint-Stock Company "ANOR BANK" announces to the shareholders about the preferential right

DEAR SHAREHOLDERS OF «ANOR BANK»JSC!

The Supervisory board of «ANOR BANK»JSC informs that on December 20, 2021, the Ministry of Finance of the Republic of Uzbekistan registered the Decision on the additional issue of ordinary registered the Decision on the additional issue of ordinary registered uncertified shares of ”ANOR BANK”JSC in the amount of 20 000 000 pieces with a par value of 1 000 UZS each for a total amount of 20 000 000 000 UZS by closed subscription through private placement.

In accordance with the Decision on the additional issue, the shareholders of ”ANOR BANK”JSC, owners of ordinary uncertified shares have the pre-emptive right to acquire shares from this issue in proportion to the number and type of shares they hold. The pre-emptive right to purchase belongs to shareholders – owners of shares of “ANOR BANK”JSC, recorded in the register of shareholders, formed as of December 10, 2021.

The pre-emptive right is valid for 10 calendar days from the date of publication of this notice.

In accordance with the decision of the extraordinary general meeting of shareholders of “ANOR BANK”JSC, the placement price of shares was determined at the rate of 1000 UZS per share.

A shareholder with a preemptive right has the right to fully or partially exercise his preemptive right by sending to “ANOR BANK”JSC a written application for the purchase of shares containing FULL NAME, the place of residence (location) of the shareholder, the number of shares acquired by him, payment document and contact phone number. Such application must be submitted to “ANOR BANK”JSC within the validity period of the preemptive right.

The placement of shares of this issue will be carried out on the unorganized over the counter securities market by concluding appropriate agreements on the basis of civil transactions and their registration with «UNIVERSAL DEPOZIT»LLC in the manner prescribed by the legislation of the Republic of Uzbekistan.

Assignment of the preemptive right is not allowed.

After the expiration of the term of the preemptive right, the remaining number of shares will be sold to the individual shareholder Olimov Kaxramonjon Anvarovich.
